Head of Executive Compensation
Frazer Jones is delighted to be partnering with a fast-scaling, successful global FinTech to appoint an Executive Compensation Lead. This is a pivotal role, reporting directly to the Global Head of Reward, with responsibility for NED, Board and Senior Leadership remuneration. The successful candidate will work closely with senior stakeholders and external advisors to ensure executive compensation strategies are competitive, compliant and aligned with the company’s mission.
Key Responsibilities:
- Manage executive compensation programs including base salary and equity-based plans for senior leaders.
- Conduct benchmarking and analysis against industry peers to ensure competitiveness and market alignment.
- Design and implement compensation strategies for senior leaders, including modelling, analysis, and communication.
- Support company-wide equity programmes, exploring delivery models (RSUs, Options, Performance-based plans), designing vesting schedules, governance frameworks and forecasting dilution/burn rates.
- Advise senior leadership and the Board on executive remuneration, acting as subject matter expert.
- Lead RemCo processes, preparing materials, coordinating annual plans, liaising with senior stakeholders and external advisors.
- Prepare UK/US regulatory submissions including DRR, RPS and SEC disclosure rules (proxy statements (14A), clawback provisions, tax compliance, data privacy, financial reporting etc.).
- Collaborate cross-functionally with Co-Sec, Legal, Finance, Tax and Stock Management teams on executive and equity compensation reporting.
- Manage external vendors including compensation consultants and legal advisors.
- Lead and develop a team, including the Senior Exec Comp Manager and Exec Comp Specialist, while contributing to the Global Reward leadership team.
Frazer Jones is seeking individuals with:
- Extensive experience designing and managing regional and global executive compensation policies, ideally within financial services (covering UK and US jurisdictions).
- Strong knowledge of executive compensation principles, practices and regulatory requirements.
- Excellent analytical skills with the ability to interpret data and provide data-driven recommendations.
- Exceptional communication and interpersonal skills to engage effectively with senior leadership and stakeholders.
- Proven project management skills with the ability to manage multiple priorities in a fast-paced environment.
- High integrity and discretion when handling confidential information.
